1. About these terms
These Terms of Service ("Terms") are an agreement between you and AgentHub (agenthub.ie), a company based in Ireland that operates GpuToLease.ai ("we", "us", "our"). They govern your use of the website www.gputolease.ai and the machines you reserve through it (together, the "Service").
By creating an account or making a reservation, you agree to these Terms and to our Privacy Policy. If you use the Service for a business or other organisation, you confirm that you can bind it to these Terms, and "you" includes it.
2. The Service
We rent out dedicated physical computers ("machines") — such as Apple Mac Studio and NVIDIA DGX Spark — for whole periods (for example, days). During a paid reservation you get remote access to one machine over SSH with the public key you choose, and it's used by nobody else. You can attach a startup script that runs once when the machine is ready.
The specifications, prices and booking rules of each plan are shown in the catalog and on the reservation page before you pay.
3. Eligibility and your account
- You must be at least 18 and able to enter into a binding contract.
- The Service is offered in the countries shown as supported on the site: currently the European Union, the United Kingdom, the United States, Canada, Australia and New Zealand. You may not use it from, or on behalf of anyone in, a country or for a person subject to sanctions or export restrictions that apply to us or to the hardware.
- Give accurate information, including your name, email address and country, and keep it up to date.
- Keep your password and SSH private keys secure. You are responsible for everything done through your account and your reservations, including by anyone you give access to.
4. Reservations
- A reservation is for a number of consecutive periods of one plan, on one machine of that plan's type, which we assign. All times are in UTC. A daily reservation starts at 00:00 UTC on its first day and ends at 23:59 UTC on its last day, unless the plan states otherwise.
- The plan's booking rules — the minimum time before the start, how far ahead you can book, the maximum number of periods and the number of current or upcoming reservations you can hold — apply to every reservation.
- A reservation is confirmed only when your payment succeeds. We hold your chosen periods for a short time while you pay; if the payment doesn't complete in time, the hold lapses.
- We aim to have the machine ready within about five minutes of the start. This is a target, not a guarantee.
- We may move your reservation to another machine of the same type if that's needed to provide the Service — for example, after a hardware fault. If this happens during your reservation, we'll tell you and, where we can, give you time to copy your data.
5. Prices, payment and VAT
- Prices are per period and are shown in the currency for your country: euro, pound sterling or US dollar. Prices are shown excluding VAT. VAT and any other applicable taxes are added at checkout where they apply to you, and shown before you pay.
- You pay the full price of the reservation upfront, by card through our payment processor, Stripe. We don't store your card details.
- If a payment completes after its hold has lapsed and the machine was booked by someone else in the meantime, we'll move your reservation to another free machine of the same type or, if none is available, refund your payment in full.
- Price changes never affect reservations you've already paid for.
6. No cancellations or refunds
- Reservations cannot be cancelled, moved or shortened once paid, and are not refundable, including for periods you don't use, if you end your use early, or for problems on your side (such as your network, your software or a lost SSH key).
- The exception: when we cannot provide the machine. If we can't make a machine available for all or part of your reservation, and can't move you to another machine of the same type, we'll refund the price of the affected periods — or the whole reservation if it can't start — to your original payment method.
- If you are a consumer, you have rights under the law that these Terms don't take away. In particular, if a right to withdraw from the contract applies to your booking, you can exercise it by contacting us, and we'll refund you as the law requires. When you book, you ask us to reserve the machine for your chosen dates and to start providing the Service at the start of the reservation.
7. Acceptable use
You may use the machine for any lawful purpose, except that you must not:
- mine cryptocurrency or run proof-of-work or similar workloads;
- store, process or distribute illegal content, including child sexual abuse material, content that infringes others' intellectual property, or malware;
- attack or abuse other systems: port scanning, denial-of-service, exploiting vulnerabilities, gaining or attempting unauthorised access, phishing, sending spam or running open proxies or relays;
- try to access other customers' machines or data, our infrastructure beyond what's provided to you, or anything on the network you're not meant to reach;
- tamper with the machine's hardware, firmware or operating system in a way meant to persist beyond your reservation, or try to avoid the end-of-reservation wipe;
- break any law, including data protection, export control and sanctions laws;
- use models, data or software in breach of their licences — you're responsible for complying with the licence of any model you download (for example, Meta's Llama licence).
We may monitor resource and network usage to protect the Service and investigate suspected breaches. If you break these rules, we may end the reservation immediately and suspend your account without refund, and report illegal activity to the authorities.
8. Your data and the end-of-reservation wipe
- The files, programs and data you put on a machine ("Your Content") remain yours. You give us only the rights we need to host and process it to provide the Service.
- At the end of every reservation, the machine is wiped: all of Your Content, including files, downloaded models, installed software, SSH keys and credentials on it, is permanently erased. We keep no backups. You're responsible for copying off anything you want to keep before the reservation ends.
- Startup scripts and the SSH public key you choose are stored with your reservation. Don't put passwords, tokens or other secrets in startup scripts.
- We're not responsible for the loss of Your Content caused by the end-of-reservation wipe or by anything you do on the machine.
9. Availability and changes to the Service
We work to keep the machines and the website available and in good order, but we don't guarantee uninterrupted or error-free operation, and we don't offer a service-level agreement. Your remedies if we can't provide a machine are set out in section 6. We may change or discontinue features of the Service; this won't affect reservations you've already paid for, except as section 6 provides.
10. Suspension and closing your account
- We may suspend or close your account, and end current reservations, if you seriously or repeatedly breach these Terms, if required by law, or to protect the Service or others. Where a suspension isn't caused by your breach, we'll refund any affected paid reservations.
- You can ask us to close your account at any time by contacting us. Reservations already paid for aren't refunded when you close your account.
11. Intellectual property
The Service, including the website, its software, design and content, belongs to us or our licensors. You may use it only as these Terms allow. You may not copy, resell or reverse engineer the website, or resell access to the machines without our written permission.
12. Third-party services
The Service relies on third parties, including Stripe for payments. Software and models you download onto a machine come from their own providers under their own terms. We're not responsible for third-party services or content we don't control.
13. Disclaimer
To the extent the law allows, the Service is provided "as is" and "as available", and we give no warranties beyond those in these Terms, including warranties of fitness for a particular purpose. Nothing in this section affects rights you have as a consumer that can't be excluded by contract.
14. Limitation of liability
- Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for anything else that can't be limited or excluded under Irish law.
- Subject to that, we're not liable for any indirect or consequential loss, or for loss of profits, revenue, business, data or goodwill, arising from your use of the Service.
- Subject to the first point, our total liability to you for all claims arising from the Service in any 12-month period is limited to the total you paid us in that period.
- If you're a consumer, these limits apply only as far as the law allows.
15. Indemnity
If you use the Service for a business, you agree to compensate us for claims, losses and reasonable costs arising from your breach of these Terms or from Your Content, to the extent the law allows.
16. Governing law and disputes
These Terms, and any dispute arising from them or from the Service, are governed by the laws of Ireland. The courts of Ireland have jurisdiction. If you're a consumer living elsewhere in the EU or in the United Kingdom, you also keep the protection of the mandatory laws of your country and can bring proceedings in its courts.
Please contact us first if you have a complaint: most problems can be solved quickly by email.
17. Changes to these Terms
We may update these Terms. We'll post the new version on this page with a new "Last updated" date and, for significant changes, tell you by email or on the site before they take effect. The Terms in force when you paid for a reservation apply to that reservation.
18. General
- These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
- If any part of these Terms is found unenforceable, the rest remains in effect.
- If we don't enforce a right straight away, we can still enforce it later.
- You may not transfer your rights under these Terms without our consent. We may transfer ours to a successor operating the Service, without reducing your rights.
- We're not responsible for delays or failures caused by events beyond our reasonable control, such as power or network outages, natural disasters or actions of public authorities. If such an event stops us providing a paid reservation, section 6 applies.
